To comply with IRS regulations, we are proposing to change our by laws as proposed below.
This is to inform the members as required by our 30-day period as described below.

Current By-Laws

ARTICLE XI – AMENDING BY LAWS

Section 1. Procedure for Amending By Laws

At such time that changes to the By Laws are proposed, the following procedure shall be followed.

  1. The By Laws change must be submitted in writing to the full Board of Directors for review.
  2. A minimum of a two-thirds majority of the Board of Directors must approve advertising the By Laws change to the member­ship.
  3. The proposed By Laws change must be advertised to the mem­bership for a minimum of 30 days to allow for comments.
  4. After the required 30-day period, the Board of Directors may vote on the proposed By Laws change at the next Board meet­ing, with a minimum of a two-thirds majority vote required to accept the By Laws change.

Change Article XI to Article XII

Add new Article XI – Dissolution

Section 1. Dissolution of the Arts Council

Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.
